Terms of Service

01The agreement

These terms are between you, the organisation using seams, and us. Using the gateway, the console, the hosted portal or the API means you accept them. If you are agreeing on behalf of a company, you are confirming you may bind it.

02What the service is

seams sits between your product and a model provider. It authenticates a request against a key you minted, checks it against a bundle and a spend ceiling, forwards it to the provider, measures what came back, and records the cost against the wallet the key belongs to.

It also gives your end users a portal showing their usage, their spending controls and their invoices, wearing your name.

We are not the model provider, and we are not the merchant of record for your customers. You sell to them; we meter and present it.

03Your account and your keys

You are responsible for what happens under your keys. A tenant key can mint end-user keys and read every customer's spend, so treat it the way you would treat a database password.

Tell us promptly if a key is exposed. Rotation is available in the console, the CLI and the API, and takes effect immediately.

You are responsible for your end users: for provisioning them, for what you charge them, and for whatever agreement you have with them.

04Provider accounts and their terms

When you bring your own provider key, calls made through seams are calls on your provider account, billed to you at your rate, and governed by that provider's terms and acceptable use policy.

We do not indemnify you against a provider's decisions. If they suspend your account or change their pricing, that is between you and them, though we will help you see what traffic caused it.

05Acceptable use

Do not use seams to do the following, and do not let your end users do it either.

• Break the law, or the acceptable use policy of any provider you route to.
• Attempt to read another tenant's data, keys, usage or ledger.
• Probe, load-test or attack the service without written agreement from us first.
• Resell access in a way that hides from your customers that their usage is metered and capped.

06Fees and payment

Our fees are as stated on the pricing page or in your order. Provider costs are separate and are billed to you by the provider when you bring your own key.

Money in the system is held as integer micro-dollars and every charge traces to an append-only ledger entry. If you think an invoice is wrong, ask, and we will show you the entries behind it.

Spend caps are enforcement, not advice. A request that would exceed an available balance is refused before dispatch, and a stream that reaches its ceiling is aborted mid-response.

07Availability

We work to keep the gateway available and will tell you about planned maintenance, but the service is provided as is. We do not warrant that it will be uninterrupted or error free.

The gateway depends on upstream providers. An outage at a provider will look like an outage to your customers, and there are limits to what routing around it can do.

08Liability

Neither side is liable for indirect or consequential loss, or for lost profits or lost data, however caused. Our total liability in any twelve month period is limited to the fees you paid us in that period.

Nothing here limits liability that cannot be limited by law.

09Ending it

You can close your account at any time. We can suspend or close an account for a serious or repeated breach of these terms, or where we are required to.

On closure you keep the right to export your usage and ledger data. We retain what tax and accounting rules require and delete the rest.

10Changes

We may update these terms. If a change materially affects you we will give notice before it takes effect, and continuing to use the service after that means you accept it. The date at the top reflects the current version.
