Terms of Service

01Before you start

If you have signed a separate order form with us for the same account and it has not ended, these terms do not apply to you and that agreement does.

Otherwise this agreement is between you - the company or person accessing seams - and Kosi Asuzu, trading as seams as a sole trader rather than a limited company. Using the gateway, the console, the hosted portal or the API means you accept it. If you are doing that for a company, you are confirming you may bind it.

02The agreement

It has two parts: the order form and key terms on this page, and the Common Paper Cloud Service Standard Terms Version 2.1, published at commonpaper.com/standards/cloud-service-agreement/2.1 and incorporated by reference. Where the two disagree, this page controls.

We have made no changes to the Standard Terms. Everything particular to seams is below.

03Order form

seams sits between your product and a model provider. It authenticates a request against a key you minted, checks it against a bundle and a spend ceiling, forwards it to the provider, measures what came back, and records the cost against the balance the key belongs to. It also gives your end users a portal showing their usage and spending controls, wearing your name.

We are not the model provider, and we are not the merchant of record for your customers. You sell to them; we meter and present it.

• Order date: the date you first accept these terms.
• Subscription period: one month, renewing automatically.
• Fees: as published at ourseams.com/pricing. Provider costs are separate and billed to you by the provider when you bring your own key.
• Payment: you authorise us to charge the payment method on file each month, without further approval.
• Non-renewal: cancel at least one day before the period ends.
• Technical support: by email at asuzukosiie@gmail.com on every paid tier. On Growth and Scale we aim to answer within one business day, and Scale is answered first. Anything affecting money or a credential goes to the front of the queue at every tier.

04Key terms

The liability and indemnity positions are the Common Paper defaults for these terms, unchanged.

• Provider: Kosi Asuzu, trading as seams. Notice to us goes to asuzukosiie@gmail.com; notice to you goes to your account’s main email address.
• General Cap Amount: one times the fees you paid or owe us in the twelve months before the claim.
• We indemnify you if the cloud service infringes someone else’s intellectual property. You indemnify us for your content, and for breaches of Section 2.1 of the Standard Terms.
• There are no increased claims, no separate increased cap and no unlimited claims.

05Support, and what it is not

The response times above are targets we work to, not a service level agreement. Missing one is not a breach and earns no credit or refund, and the Standard Terms’ SLA provisions do not apply. There is no SLA attached to this agreement.

We say that plainly because a target you can rely on informally is worth more than a guarantee with a remedy nobody wants to claim. If the shape of support changes, this page changes with it before the pricing page does.

06Governing law

Not yet fixed. The Standard Terms expect a governing law and a set of chosen courts, and we cannot name either honestly until the company that will hold this agreement exists.

When it does we will fill both in here and give notice before the change takes effect. Until then, treat this as the one open term.

07Privacy, security and your data

What we collect, what we deliberately do not, and how long we hold it are set out in the privacy policy at ourseams.com/privacy. The short version: we do not store prompt or completion content, and there is no setting that adds it.

For your end users’ data you are the controller and we are your processor. There is no data processing agreement attached to these terms. If you need one, contact us.

On security we take the Standard Terms’ default: commercially reasonable efforts against unauthorised access, alteration, use and other unlawful tampering. We hold no compliance certifications and claim none, and we carry no insurance minimums.

08Licence

The Common Paper Terms of Service and the Cloud Service Agreement it is built from are used under the Creative Commons Attribution 4.0 International licence (CC BY 4.0).
